Terms of Use

These Terms of Use ("Terms") govern your access to and use of Capio, provided by IQ Technologies N.V. ("we", "us", or "our"). By creating an account, clicking "Create account", or using the Service, you agree to these Terms and our Privacy Policy.

The Service

Capio provides meeting transcription, live captioning, translation, speaker labeling, and AI-generated summaries and notes. Features and limits depend on your subscription plan. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practical.

Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at info@iqtholding.solutions if you suspect unauthorized access.

Acceptable use

You agree not to:

• Upload or process content you do not have the legal right to record, store, or transcribe.
• Use the Service to violate privacy, employment, wiretapping, or other applicable laws.
• Attempt to access another customer's data, probe or disrupt our systems, or circumvent usage limits.
• Reverse engineer, resell, or commercially exploit the Service except as expressly permitted.
• Upload malware, unlawful content, or material that infringes intellectual property rights.

You are solely responsible for obtaining consent from meeting participants and complying with local recording laws, including in Suriname and any jurisdiction where your meetings take place.

Your content

You retain ownership of the audio, transcripts, and other content you submit ("Customer Content"). You grant us a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service, enforce these Terms, and comply with law.

You represent that you have all rights necessary to submit Customer Content and that doing so does not violate any third-party rights or applicable law.

Subscriptions and payment

Paid plans are billed according to the pricing shown at signup or on our website. Unless stated otherwise, subscriptions renew monthly. For bank-transfer billing, access to paid features may begin after payment verification according to our billing workflow.

Minute quotas, retention periods, and feature limits are defined by your plan. If you exceed your quota, new processing may be paused until the next billing period or until you upgrade.

Fees are non-refundable except where required by law or explicitly stated in writing.

Team accounts

If you create or join a team workspace, you authorize workspace administrators to manage users, billing, and retention settings for that workspace. Administrators are responsible for how team members use the Service.

Confidentiality

We treat meeting content as confidential customer information and use it only as described in our Privacy Policy. You are responsible for configuring retention, access, and sharing within your organization.

Third-party services

The Service relies on third-party infrastructure and AI providers. Your use of the Service is also subject to the operational limitations of those providers. We are not responsible for third-party services outside our control.

Disclaimer of warranties

The Service is provided "as is" and "as available". Transcription and AI outputs may contain errors, especially with mixed languages, accents, or poor audio quality. We do not guarantee perfect accuracy, uninterrupted availability, or fitness for a particular purpose. You should review important outputs before relying on them for legal, medical, financial, or compliance decisions.

Limitation of liability

To the maximum extent permitted by law, IQ Technologies N.V. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption arising from your use of the Service.

Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim, or USD $100 if you use a free plan.

Indemnification

You will defend and indemnify us against claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or if continued provision would create legal or security risk. Upon termination, your right to use the Service ends, and we may delete Customer Content according to our retention policies.

Governing law

These Terms are governed by the laws of Suriname, without regard to conflict-of-law principles. Courts in Suriname will have exclusive jurisdiction over disputes arising from these Terms, except where mandatory consumer protection laws in your country provide otherwise.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the effective date above. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
